What Will Happen If You Shift Your Registered Office to a Different ROC Jurisdiction?

Changing your registered office can bring you under a different ROC from the list of Registrar of Companies in India. An easy intimation to the Registrar is all generally needed when shifting within the city, and Regional Director approval is needed when shifting from one ROC to another, within the state or to another state.

In addition, approvals like board resolution and shareholder resolution are needed. Our guide to change of registered office covers the forms, timelines and documents.

Why Does Your ROC Matter for Compliance?

Your ROC is the office to which you file your submissions and where defaults are processed. Non-compliance for private limited companies, late AOC-4 and MGT-7 filing or non-filing of director KYC can invite charges and dues set by the concerned ROC. The ROC is responsible for reporting resignations or appointments of directors. Directors have to keep their DIN and DSC working and active as each ROC filing will depend on it. Using the correct list of Registrar of Companies in India ensures you file with the right office.
